Terms
ODMOP Subscription Terms
These terms apply to an organisation's paid ODMOP subscription (ODMOP Live) and, where stated, to the free Sandbox evaluation. A signed order or agreement with AFOLAOLA, if there is one, prevails over these terms where they differ. Questions: legal@afolaola.com.
1. Who we are and what ODMOP is
ODMOP (Organisational Data Management & Operations Platform) is provided by AFOLAOLA — Global Digital Solutions ("AFOLAOLA", "we"). The "Customer" is the organisation that holds the subscription. ODMOP is an online platform for an organisation's profile, people and roles, programmes, indicators, measurements, review and approval, results reporting and audit history. The capabilities available at any time are those listed on Capabilities.
2. Environments
- Sandbox (Free Evaluation) is for exploring ODMOP with synthetic information only. It is free, needs no payment details, and never converts into a paid subscription automatically.
- Live (Paid Organisational Access) is where an organisation operates with its real information. It is activated only after our approval, an agreed subscription arrangement and verified payment or approved billing.
- The two are separate: separate accounts, sessions and data. Nothing is copied or promoted from Sandbox into Live.
3. Accounts and users
Access is by invitation to named individuals; accounts are not shared. The Customer's Owner invites colleagues within the number of users included in the plan, assigns their roles, and removes access when it is no longer needed. The Customer is responsible for activity under its accounts, for keeping sign-in details secure, and for having the authority to enter the information it records.
4. Plans, fees and billing
- Plans, included users and prices are those published on our website or stated in the order. Prices are shown in the currency stated, before applicable taxes.
- Subscriptions are billed per organisation, monthly or annually in advance, as selected. Annual billing is the published annual price.
- Payments are processed by our payment provider, which may act as the seller of record and collect applicable taxes. Its checkout terms apply to the payment.
- Plan capacity is set by the number of users. Programmes, indicators, measurements, reporting periods, results reports and audit history are not limited by plan.
- A plan can be changed by agreement; any adjustment to fees is communicated before it takes effect.
- Approved nonprofit discounts follow the Nonprofit Affordability and Access Policy and are applied in the billing system for the approved period only.
5. Renewal and price changes
A paid subscription renews for another period of the same length unless cancelled before the renewal date. We will give at least 30 days' written notice of a price change affecting an existing subscription; it takes effect at the next renewal after that notice, and the Customer may cancel before then.
6. Non-payment
If a payment fails, access continues through a 14-day grace period. After that the workspace becomes read-only until payment is resolved; people with export permission can still export its data. We do not delete a Customer's data because of non-payment. If a subscription ends, access is suspended and data is retained as described in section 9.
7. Cancellation
The Customer can cancel at any time by writing to support@afolaola.com or through the billing controls when available. Cancellation takes effect at the end of the period already paid, and access continues until then. Refunds are governed by the Refund Policy.
8. Suspension
We may suspend access, with notice where practicable, if a Customer materially breaches these terms, uses ODMOP unlawfully, endangers the security or integrity of the service or other customers, or provides false eligibility information. We will restore access when the cause is resolved.
9. Customer data, export and retention
- The Customer owns the information it records. We process it only to provide, secure and support the service, as described in our privacy information.
- People with export permission (Owners, Admins, Programme Managers and MEL Officers) can export the organisation's data themselves at any time while the workspace is active or read-only. Every export is recorded in the audit history.
- After a subscription ends, access is suspended and we retain the organisation's data for at least 90 days. During that time write to support@afolaola.com and we will provide an export, or the subscription can be resumed. After that period we may delete it after written notice to the Owner. Audit entries cannot be edited; where deletion is requested, personal data in them is removed or anonymised as far as the append-only design allows.
- Do not record health information or other special categories of personal data, or beneficiary case files. ODMOP has not been built for them.
10. Acceptable use
The Customer and its users must not: attempt to access other organisations' data or interfere with the service's security; upload malicious code; probe or test the service in ways that disrupt it; use ODMOP unlawfully or to harm others; resell or sublicense it; or use Sandbox for real information. Security researchers should follow Security.
11. Sandbox evaluation
- Access is free, by approved invitation, with an initial 7-day evaluation (starting when you first sign in) and one possible 7-day extension on our approval.
- Only fictional organisations and synthetic information may be used. We may reset or delete Sandbox content at any time and after the evaluation ends.
- When the evaluation ends the workspace is read-only, then reset or deleted. No Sandbox data is transferred to Live.
- Sandbox is provided as is, without any availability commitment.
12. Support and availability
Support is provided under the Support Policy. We work to keep ODMOP available and publish its current status on Service status, but we do not guarantee uninterrupted operation unless an agreement says so, and we depend on third-party hosting and infrastructure providers.
13. Intellectual property
AFOLAOLA retains all rights in ODMOP, its software, design and documentation. The Customer receives a non-exclusive, non-transferable right to use ODMOP for its own operations while its subscription is active. The Customer keeps all rights in its own data.
14. Warranties and liability
We provide ODMOP with reasonable skill and care and as described in its documentation. To the extent the law allows, we exclude implied warranties, and we are not liable for indirect or consequential loss, or for loss of profit, revenue or data caused by events outside our reasonable control. To the extent the law allows, our total liability for any claim arising from the service is limited to the fees the Customer paid for the 12 months before the claim arose. Nothing here limits liability that cannot lawfully be limited.
15. Changes, law and contact
We may update these terms; for paid subscriptions, material changes take effect at the next renewal after at least 30 days' notice. The governing law and courts are those stated in the order or agreement; where none is stated, the laws of the Province of Ontario, Canada apply. Notices to us: legal@afolaola.com.
